By listing a topic on this agenda, the City Council h Fs expressed its intent to discuss and act on each item. In addition to any action identified in;i he brief genera/ description of each item, the action that may betaken shall include. A refer,al to staff with specific requests for information; continuance;specific direction to staff concerning the policy or mission of the item; discontinuance of consideration; authorization to enter into negotiations and execute agreements pertaining to the item; adoption or approval; and, disappro val. Copies of the staff reports or other documentation relating to each i em of business referred to on the agenda are on file in the office of the City Clerk (Room 08) and in the Information Office(Room 103), available for public inspection during City Hall business hours. The City Clerk will answer any questions regarding the agenda. Grogan as Interim City Manager i RESOLUTION NO. 97-_M i A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ATASCADERO APPOINTIN ROBERT F. GROGAN AS INTERIM CITY MANAGER i WHEREAS, Andrew J. Takata has tendered his resignation Ond has accepted a position with the City of Newcastle, Washington; and I WHEREAS, the City Council desires to have an Interim City Manager to act in that capacity for a limited duration until a permanent replacement has been appointed; and WHEREAS, the position requires the specialized skills of 4n experienced City Manager; and WHEREAS, Robert F. Grogan, as prior City Manager of the City of Santa Maria for many years and as Interim City Manager of other cities, has such specialized skills; and WHEREAS, Robert F. Grogan has expressed a commitment not to seek permanent appointment as City Manager. NOW, THEREFORE, BE IT RESOLVED AS FOLLOWS: 1. The City Council of the City of Atascadero does hereby appoint Robert F. Grogan as Interim City Manager; 2. The Mayor is authorized to execute the attached agreement with Robert F. Mayor ATTEST: I i Marcia Torgerson, City Clerk t 1 3 Contract No. 97002 CONTRACT FOR INTERIM CITY MANAGER SERVICES THIS CONTRACT is entered into this day of , 1997, by and between the CITY OF ATASCADERO (hereinafter referred to as "CITY"), and ROBERT F. GROGAN, dba The Grogan Company (hereinafter referred to as "CONTRACTOR"). The parties mutually agree as follows: 1. Scope of Services. Pursuant to this Contract, CONTRACTOR shall provide to CITY the special services of Interim City Manager. 2. Compensation. CITY shall pay to CONTRACTOR as compensation in full for all services performed by CONTRACTOR pursuant to this Contract according to the following schedule: a. $8,000.00 per month for full-time services from February 1, 1997. b. CONTRACTOR reserves the option to defer receipt of part of his income to 1998. c. CONTRACTOR will also be reimbursed for reasonable out-of-pocket expenses incurred on official City business at the direct cost. Out-of-pocket expenses will include an automobile allowance of$300.00. d. CONTRACTOR shall bill CITY monthly for the prior month's services. Statement will be paid by CITY within thirty (30) days of receipt. Any billing for less than one month shall be prorated, based upon a thirty (30) day month. 3. Term of Contract. This Contract shall commence as of February 1, 1997 and shall end two weeks after the effective date of appointment of a full-time City Manager. Either party may otherwise terminate this Contract at any time by giving to the other party thirty (30) days written 1 f notice of such termination. Termination shall have no effect upon the rights and obligations of the parties arising out of any transaction occurring prior to the effective date of such termination. CONTRACTOR shall be paid for all work satisfactorily completed prior to the effective date of said termination at a rate specified in paragraph 2. 4. Liability Insurance. CONTRACTOR shall obtain and maintain for the entire term of the Contract and CONTRACTOR shall not perform any work under this Contract until after he has obtained comprehensive automobile liability insurance, in companies, acceptable to CITY, authorized to issue such insurance in the State of California. 5. Notices. Any notice required to be given pursuant to the terms and provisions hereof shall be in writing and shall be sent by first-class mail to CITY at: City of Atascadero Attention: City Attorney 6500 Palma Avenue Atascadero, CA 93422 and to CONTRACTOR at: The Grogan Company Attention: Robert F.
