League of California Cities Dues Increase for 1985 Staff report was given by Ralph Dowell, Acting City Manager. MOTION: By Councilman Molina, seconded by Councilman Handshy to approve the increase in dues for 1985 . Passed unanimously by roll call vote. 2. Road Name Establishment - Consideration of Planning Commission Recommendation on Request by Dennis Bethel and Associates to Allow the Creation of Jornada Lane. Subject Private Road Would Lead North of the Intersection of E1 Camino Real and Viejo Camino. The project is categorically exempt from theprovisionsof CEQA. 0 Staff report was given by Henry Engen, Planning Director. There was no public testimony. MOTION: By Councilwoman Mackey, seconded by Councilwoman Norris for approval. Passed unanimously. 3. Public Hearing to Consider the Elimination of Hazardous Conditions at 4511-19 Mananita under Chapter 70, Section 7004 (hazards) of the Uniform Building Code (pursuant to Special Council Meeting of 12/21/84 Henry Engen, Planning Director, gave staff report. Mr. Engen re- ported that Mr. Don Vaughn picked up the grading permit on January 8, 1985 that provided for an off-site underground 42 inch pipe extension which would resolve the issue of the grading on the property. Given the fact that the applicant has moved on the per- mit application, the staff recommendation is that following any public testimony there may be this evening, that you continue con- sideration of the matter until February 12 , 1985. This would give Mr. Vaughn the month to implement the project and underground the pipe and get the grading permit finaled. The agenda packet also contains a draft resolution empowering the City to rectify the problem and charge costs back to the owner. Scott Vasgird said he had no problem with Don Vaughn taking another month to get this off the ground -3- ! 0 MINUTES - ATASCADERO CITY COUNCIL Regular Meeting �anuary 14, 1985 age 4 Councilwoman Norris asked to be excused from voting due to a con- flict of interest. Staff was asked to provide a status report at the January 28th meeting. MOTION: By Councilwoman Mackey, seconded by Councilman Handshy to continue this item until February 12th. Passed unanimously. C. UNFINISHED BUSINESS 1. Presentation of the Report of the Downtown Revitalization Task Force for consideration and staff determination (Planning) Henry Engen, Planning Director, reported the following observa- tions regarding City staff ' s current ability to assist in imple- menting recommendations of the Task Force: a) Special assessment/maintenance district - will require con- siderable involvement of the Department of Public Works staff. Hence, fulfilling of the department head and associate engineer positions will be necessary. b) Downtown Improvement Association - Planning staff could provide mapping assistance in defining alternative boundaries for D.I.A. Establishment of D. I.A. as a legal entity with taxing powers, etc. will involve the City Manager, Finance Director, City Attorney, and City Engineer. c) Lewis Avenue Bridge - There is a need to establish an equitable bridge financing formula to determine participation require- ments of Bank of America, Century Plaza Shopping Center, and other future private developers. This will require preparation of estimates for its construction and review of alternative methods of funding. Again, the City Engineer ' s office would be privotal in this analysis. Planning staff could assist in preparing up-to-date information on development and activity in the corridor which would be utilizing the bridge. STAFF RECOMMENDATION: Predicated on your conceptual acceptance of the Task Force ' s rec- ommendations, it is recommended that positive staff action be held in abeyance pending the hiring of the City Manager and Public Works Director. Should Council desire to initiate a consultant study on the cost and funding alternatives for the Lewis Avenue Bridge, staff could bring back a cost estimate for such consultant services and necessary budget action to transfer funds . Councilman Molina said that he agreed with the staff recommendations but thinks that the Council should put in a "line item" for budget so that money can be appropriated to enact these three recommendations -4- MINUTES - ATASCADERO CA COUNCIL 0 Regular Meeting January 14, - 1985 Page 5 Mayor Nelson said that staff could determine the cost of the con-. sultant in regards to the Lewis Avenue Bridge. Also Henry Engen could start looking at the zone changes for the downtown area in regards to parking and other developmental standards. In other areas we need to wait to see what the business people in the area are willing to do. Gary Larson from the Chamber of Commerce Office said now is the time to go through a series of steps if we want to create a down- town improvement association. Mayor Nelson said he thought we should wait until recruitment for Public Works Director and City Manager are completed. Allen Grimes, City Attorney, said that many cities have informal written ballots of the property owners to ascertain if there is a majority or not before you incur the expense and before you go ahead with a formai hearing. Ralph Dowell, Acting City Manager, said he would like to come back to the Council with a completely laid out program of what can be done and how we intend to do it. He said he still has some ques- tions in his mind of the exact boundaries of this district and things what have to be looked at, including the- possibility of a ballot of property owners to get a feel for ,the district. 0 Mayor Nelson said he would like to give items A, B, and C to staff and let them bring it back to the council and give an idea on cost and how it is going to be achieved. MOTION: By Councilman Molina, seconded by Councilwoman Mackey to conception- ally accept the Revitalization Task Force recommendations and to go along with staff recommendations and start immediately on the Lewis Avenue Bridge. Passed 4 :1 with Councilman Handshy voting no. Mayor Nelson thanked Maggie Rice and Gary Larson of the Chamber of Commerce Office and George Molina for all of their work on this project. 2. Status of Recruitment for Public Works Director Ralph Dowell, Acting City Manager, said this was put on the agenda in order to address a new start date for advertising for a Public Works Director and also proposed that we look at a different way to advertise rather than the standard way to see if there is a means of obtaining names of very progressive active public works directors in other cities and use a personal letter to each of these people and say that we are advertising and ask if they are interested. -5 MINUTES - ATASCADERO CIO COUNCIL Regular Meeting January 14 , 1985 Page 6 Mayor Nelson asked Mr. Dowell to review what happened at the special meeting to recruit for a Public Works Director. Mr. Dowell said that on January 5th the interviews of the last candidates was forwarded to the Council by the technical committee and upon completion of the interviews, the Council determined that there would be no further action on this particular recruitment until the recruitment for the City Manager had been finalized. No further action will be taken until the selection of the City Manager is completed. MOTION: By Councilwoman Mackey, seconded by Councilman Handshy to have Acting City Manager, Ralph Dowell, proceed with recruitment for Public Works Director. Passed unanimously. D. NEW BUSINESS 1. Proposed Resolution No. 1-85 - Setting the Appropriation Limit (Proposition 4) for Fiscal Year 1984/85 Staff report was given by Ralph Dowell, Acting City Manager. MOTION: By Councilman Handshy, seconded by Councilman Molina to adopt resolution 1-85. Passed unanimously by roll call vote. M2. Proposed Resolution No. 2-85 - California Park and Recreation Facilities (historic preservation) Grant Application Ralph Dowell, Acting City Manager, gave staff report. Bob Best, Recreation Director, said the resolution is due by March 1 and we should have some word on this by March or April. MOTION: By Councilwoman Mackey, seconded by Councilwoman Norris for approval of Resolution No. 2-85. Passed unanimously by roll call vote. 3. Agreement Between the City and California Men ' s Colony to Provide Unskilled Labor at South Atascadero Park Staff report was given by Ralph Dowell, Acting City Manager. MOTION: By Councilwoman Mackey, seconded by Councilman Molina to approve agreement with California Men' s Colony for day labor. Passed unanimously. 4 . Proposed Resolution No. 3-85 - designating a Stop Intersection to Which Drivers of all Vehicles are Required to Stop When Signs Are Posted. Ralph Dowell, Acting City Manager, gave staff report. *OTION: By Councilman Handshy, seconded by Councilwoman Mackey to adopt Resolution No. 3-85. Request by San Luis Obispo County and Cities Area Coordinating Council to Appoint Alternate Representative Mayor Nelson said that Barbara Norris has consented to be the alternate representative. MOTION: By Councilman Molina, seconded by Councilman Handshy for Barbara Norris to be the alternate representative to the Cities Area Coordinating Council. Passed unanimously. 6. Request by Atascadero .Unified School District to Consider the Formation of a City/School District Committee Ralph Dowell, Acting City Manager, gave staff report. He suggested naming two staff members consisting of the City Manager and the Planning Director and two others to this committee. Mayor Nelson said he would like to appoint George Molina and Wayne Handshy to this committee and the City Manager and the Planning Director. MOTION: By Councilwoman Norris, seconded by Councilman Handshy to approve the appointment of George Molina, Wayne Handshy, City Manager and Planning Director to this committee. Passed unanimously. 7. Briefing on a Notification From Falcon Cable Corporation of Inten� tion to Adjust Their Base Rate, Effective February 1, 1985 Ralph Dowell, Acting City Manager, gave staff report. He stated that he finds no difficulty with the proposed rate increase. City Attorney, Allen Grimes , stated that they do not have to have our approval but they have to do it in the methodology that we set forth in our resolution. 8. Council Committee Report on Procedure and Timing for Recruitment of City Manager Mayor Nelson stated that he feels the procedure is too costly as far as time and could be too costly as far as money. He would propose that one step be eliminated and that would be the technical committee. He said he would like the full council to meet this Saturday and go over the remaining applications with Bill Avery. From that meeting see how many applicants the Council still wants to interview. This process could be cut down as much as a month in time and also not having to get the consultants together could be more cost efficient also. Councilwoman Mackey said that sounded good to her, because she wanted the Council to be more involved. -7- .`L MINUTES - ATASCADERO CITY COUNCIL Regular Meeting • • January 14 , 1985 Page 8 . Councilman Molina said that this is one of the most important selec- tions that this council is going to make, so far as the time element goes he would rather go with the expertise of the technical committee and that time is not that important now. He feels that making the proper selection is the most important one. If it takes two months and we come up with the right one, that is more important than trying to save two or three weeks. Mayor Nelson said that he feels that the Council can pick the type of person that they want to represent the City in that position. He feels that he would feel more satisfied with starting with the 16 now and cutting it down instead of going through the technical committee process at this time. Councilman Handshy said he agrees with Councilman Molina that we waited for seven months and that we don't want to make any mistakes and that we should not shorten the process. Councilwoman Norris said she feels that we should stay with the Technical Committee. MOTION: By Councilw"oma.n Mackey, seconded by Councilman Molina tp, stay with the originally proposed process of recruiting for a Citi( Manager. Passed unanimously. It was discussed that the City Manager from Santa Maria and Paso Robles with an alternate from the City of San Luis Obispo will be asked to be on the committee. MOTION: By Councilwoman Mackey, seconded by Councilman Molina to recess as Atascadero City Council and convene as the Atascadero County Sanitation District Board of Directors. Passed unanimously. E. ATASCADERO COUNTY SANITATION DISTRICT 1. Proposed Ordinance No. 96 - Sanitation Rate Amendments - Dry Cleaners Laundries (First Reading) Staff report was given by Ralph Dowell, Acting City Manager. MOTION: By Director Handshy, seconded by Director Molina to read by title only. Passed unanimously. President Nelson read Ordinance No. 96 by title only. January 14 , 1985 Page 9 F. INDIVIDUAL DETERMINATION AND/OR ACTION • 1. CITY COUNCIL Councilwoman Norris asked when they would be having some study sessions to dicuss their goals. Mayor Nelson said that the next phase is budget review and at that time a lot of the goals will come out. Budget review will possibly be at the next meeting on January 28th. Mayor Nelson said that there had been a sub-committee meeting of Councilwoman Mackey, Henry Engen, Planning Director and the Mayor to discuss planning commission/city council joint meeting agenda. Mr. Engen stated there were 8 items offered for consideration by Council before setting a joint meeting with the commission. They are: 1) Over view on council/planning commission relationships. 2) Development fees. 3) Lewis Avenue Bridge. 4) Parking study. 5) Possibility of a variety of zoning amendments that have been discussed over the years. 6) Drainage master plan. 7) Amapoa/Tecorida drainage area. and 8) Discussion of possible amendments to the City general plan with emphasis on public facilities. Councilman Molinasaidhe feels that item #1 should be the topic of discussion. 0 Councilwoman Norris said she totally concurred with Councilman Molina. Councilman Handshy said he has a concern about the number of apart- ments that are being built in Atascadero and where the people are coming from to fill them. Mayor Nelson suggested that the joint meeting be held at 6 :00 p.m. until 7 : 15 p.m. before the next council meeting on January 28th and the subcommittee will meet with the Planning Director to refine the agenda to include a status report on agenda items. 2. CITY ATTORNEY None 3. CITY CLERK Grigger Jones, City Clerk, reminded staff and council that the Statement of Economic Interest are due by March 1, 1985 . 4. CITY TREASURER None -9- 0 MINUTES - ATASCADERO CI*COUNCIL • Regular Meeting January 14, 1985 Page 10 5 . CITY MANAGER Acting City Manager, Ralph Dowell, reported that $29 . 00 worth of canned goods was collected by Dial-A-Ride and donated to the Salvation Army. He also reminded Council that in the budget exists $20, 000 for a new fire truck, which we are in need of. Complete specifications have been provided by the Fire Chief so that we can now go to bid. He is looking into the possibility of going "piggy back" with some other large city which is in the bid process. Because of the type of equipment and the fact that it normally takes four to thirteen months after you accept a bid on a fire truck before you get it, there is some advantage of joining together with other cities in the bid process. We are looking for a truck which could cost somewhere in the area of $125,000 . Our financing can be through the same processes we have used on other heavy equipment using a lease-purchase type of agreement. Mike Hicks, Fire Chief, reported that Mike McCain is going to Florida at the Company' s expense to look at a fire truck that costs $115, 000. Bud McHale, Police Chief, said that the Police Department provided 23 rides on the tipsy-taxi service on New Year ' s Eve. or'AwwETING ADJOURNED AT 9 :20 P.M. TO A CLOSED SESSION. Custom Pumper. This resolution will give the City of Atascadero the authority to purchase the above mentioned fire engine pumper at the price of $115,635.00 plus sales tax. This equipment will be purchased on a public bid purchase order off the City of Morgan Hill public bid (P.O. #10414) . The engine that I am recommending the City of Atascadero purchase is a demonstrator unit which meets or exceeds the City of Morgan Hill bid specifications. The City of Morgan Hill purchased two Pierce Custom Pumpers at a price of $129,066.00 each. As you can see from the price of this demonstrator unit, it is a considerable savings. This unit will be licensedasa new 1985 fire engine, and will have all manufacturer's warranties - itwill be the same as if it just came off the assembly line today. Fire Captain Mike McCain went with a representative of Paramount • Equipment Sales (Pierce dealer) to Florida on 1-15-85, to inspect and test drive the above mentioned engine. It is his recommendation that this is a tremendous opportunity for this City to be able to purchase high quality fire equipment and take advantage of this reduced price. I met with representatives of the committee on January 22nd, and during that discussion it was brought forth that the City was not in favor of the presently proposed location for the library near the intersection of Morro Road and Atascadero Road. I advised the representatives that City staff had concerns from a traffic safety and engineering standpoint. The representatives were aware of only one accident at the intersection. For your information, I have attached statistics from 1981-84, which show numbers and types of accidents by year and location. The attached agree- ment was forwarded by the Housing and Community Development (HCD) for the City' s consideration and has been rejected by staff as being eith- er ambiguous or implying responsibilities and commitments by the City beyond those envisioned in accepting the grant. This particular lan- guage was offered by HCD as a model that had been approved by them and the Farmer ' s Home Administration for a similar type project for anoth- er city in the State. Staff is in theroce - � p ss of re writing a proposed agreement which Jim its City liabilities to playing a role in reporting any violations in g the rental agreement, and we anticipate utilizing the type of aree ment used in the past for conditional use permit projects which had j received density bonuses. These also require commitments to lower rents. WHAT'S NEXT Staff will prepare a draft agreement to submit to the Department of Housing and Community Development and Farmers Home Administration for their response and return to City Council prior to executing such agreement. The other basic prerequisite for the grant is the Housing Element, which is in hearing before the Planning Commission. BY AND BETWEEN California Lenders, A limited partnership hereinafter referred to as CL. AND CITY OF ATASCADERO, an incorporated City of the State of California, hereinafter reffered to as CITY. WHEREAS, CL has submitted to the CITY a proposal for funding assistance to ensure the feasibility of a 95 unit Farmers Home Administration (FmHA) Section 515 rental housing project (the PROJECT) , and demonstrated a substantial need for assistance to make said PROJECT feasible and affordable to persons of low incomes, and WHEREAS, in order to assist this PROJECT the CITY has applied for funding through the State of California' s Department of Housing . and Community Development (HCD) Community Development Block Grant Program (CDBG) to provide land writedown, in support of the PROJECT, and WHEREAS, HCD has informed the CITY that is has been awarded funds in the amount of $ to accomplish these activities under the Housing and Community Development Act of 1974 , as amended (the ACT) , WHEREAS, CL has executed a contract with the CITY on 1985, which calls for the CITY to provide financial assistance to CL' s Farmers Home Section 515 rental project known as Atascadero Senior Citizens Congregate Rental Housing Units (hereinafter "the Project") and WHEREAS, Said contract calls for CL to "execute a recordable regulatory agreement which shall serve to bind CL to the specified rents " and WHEREAS, the CITY has met its committments under said contract; NOW THEREFORE, the parties hereto agree as follows: I. CL Shall: A. Manage the PROJECT at all times in conformance with State law and the Farmers Home Administration program M requirements, rules and regulations pertaining thereto, as amended and in effect at any given time. B. Comply with Attachment B regarding reduction of PROJECT rents to reflect the reduction of PROJECT mortgage by the amount of CDBG funds used to provide land writedown, C. Forward to the CITY'S City Manager a quarterly report showing the incomes of each tenant by apartment number and the rents charged to each apartment. Each report shall also clearly show the distribution of the monthly savings to applicable units and shall contain CL' s certification under penalty of perjury that the informa- tion therein contained is accurate. II. CITY Shall: A. Review each quarterly report for compliance with this agreement. The City Manager shall report to the City Council CL' s progress in complying with this agreement. In the event the CITY determines that CL has not adequately complied with the terms of this agreement, the CITY shall notify, in writing, CL and the California Department of Housing and Community Develop- ment (HCD) . III. General A. Transfer of the Development. Express written approval of both CITY and CL is required for sale, transfer or conveyance of the Project by CL. Such approval shall be given provided that the following terms are incorporated into any transfer agreement: 1. That CL's successor in interest agrees to assume the obligations of CL relating to this agreement for the duration of this agreement. 2. That CL's successor in interest is eligible sponsor and demonstrates to the satisfaction of both the CITY and HCD that it can successfully own and operate the PROJECT. (1) Except if required by the Farmers Home Administration for loan servicing purposes 2 Y, B. Violation of Regulatory Agreement by CL. In the event of any of the. provisions of this Agreement by the CL, the City shall make an immediate -report thereof to HCD. Additionally, the CITY may give written notice of said violation to the CL by registered or certified mail, and if such violation is not corrected to the satisfaction of the CITY within thirty (30) days after the date such notice is mailed (or within such further time as the CITY, in its sole discretion, may permit) , the CITY may, without further prior notice, declare in writing a default under this Agreement effective on the date of such declaration or default. Upon any such declaration or default the CITY or HCD may apply to any court, State or Federal, for specific performance of this Agreement for an injunction against any violation of this Agreement by CL; or for such relief as may be appropriate, it being agreed by the CL that the injury to the CITY arising from a default under any of the terms of this Agreement would be irreparable and that it would be extremely difficult to ascertain the amount of compensation to the CITY which would afford adequate relief, in light of the purposes and policies of the Program. C. Amendment. This Agreement shall not be altered or amended except by writing executed between the parties. No such amendment shall be effective without the prior approval of HCD and without meeting the requirements of the Community Development Block Grant Program. D. Partial Invalidity. If any provision of this Agreement shall be invalid, illegal or uneforceable, the validity, legality and enforceability of the remaining provisions thereof shall not in any way be affected or impaired thereby. E. Binding on Successors. This Agreement shall bind, and the benefits thereof shall inure to, the respective parties hereto, their legal representatives, executors, administrators, successors in office or interest; provided, however , that CL may not assign this Agreement -or any of its obligations hereunder, voluntarily or by operation of law, without the prior approval of the CITY and the HCD. F. Recording Agreement. This Agreement shall, at the expense of the PROJECT, be acknowledged by each of the parties and recorded in the official records of the county in which the PROJECT is situated. This Agreement shall be indexed in the grantor index to the name of .CL and in the grantee index to the name of the CITY. 3 / G. Election of Remedies; Events of Default. The remedies of the CITY hereunder and under any other instrument providing for or evidencing the financial assistance provided for the PROJECT by HCD or the CITY are cumulative, the exercise of one or more of such remedies and shall not preclude the exercise by the" CITY of any one or more of its other remedies. H. Waiver. No waiver by the CITY or any breach or default under this Agreement shall be deemed to be a waiver of any other or subsequent breach there or default hereunder . I. Captions. The captions used in this Agreement are inserted only as a matter of convenience and for reference and in no way define, limits or describe the scope or intent of the Agreement. J. Governing Law. This Agreement shall be construed in accordance with, and governed by, the laws of the State of California, unless otherwise governed by Federal Law. K. Notices. Written notices and other written communications by and between the pasties hereto shall be addressed as follows unless, and until a part hereto has, in writing, communicated a different address to the other party hereto. L. Third Party Beneficiaries. For the purpose of this Agreement, HCD, FmHA, or any other governmental financing agency which has provided financial commitments for the PROJECT, are acknowledged as third party beneficiaries by the parties to this Agreement. H. Attorneys Fees. In the event of any controversy, claim, or dispute between the parties or third party beneficiaries hereto, arising out of or relating to this Agreement or breach thereof, the prevailing party shall be entitled to recover from the losing party reasonable expenses, attorneys fees and costs. Dowell, Jr. Acting City Manager SUBJECT: SOLID WASTE FRANCHISE Attached, you will find a letter from Betty Sanders of Wright, Peterson and Sanders, attorney for Wil-Mar Disposal Company, requesting renewal of their existing franchise, which will expire on December 31, 1985. The purpose of this request, according to Wil-Mar Disposal, is to allow their company to purchase needed replacement equipment. Mr. Gibbs, of Wil-Mar , points out the necessity of having a current con- tract of sufficient expectancy to allow negotiating any future obli- gation for replacement capitol expenditures. In addition, he states that the proper level of service is dependent upon the condition of the service vehicles. At the present time, there is still the question as to whether solid waste franchises come under the anti-trust laws. It is my understand- ing that the final court decision is pending (Hudson versus the City of Chula Vista) . This concern is presently addressed by the City Attorney as an attachment to this memorandum. • My concern is that the City maintain an established level of service and insures that we do not have any service degradation due to equip- ment malfunction. My concern is also that we could possibly not have a court decision by the time the existing franchise expires. This situation could place us on a day to day contact basis, which, looking at a worst possible scenario, could possibly degrade to a complete lack of service. Considering the above, I propose the following options: 1. Renew the franchise and take the calculated risk that the court will rule in the cities ' favor. 2. Renew the franchise with a "null and void" clause in the event the court rules that solid waste contracts do fall under the anti- trust laws. Concurrent with this finding, we would go to bid for a new franchise. 3. Place the franchise up for bid at this time if Wil-Mar indicates they can' t continue with existing equipment until the expiration date of January 1, 1986. 4. Do nothing at this time and place the franchise up for bid based upon the expiration date of January 1, 1986. • I understand that if the court rules that solid waste franchises are part of the anti-trust law that we could be challenged. However, I feel we should assume a calculated risk and take action towards renew- ing our franchise prior to its expiration date (option #1) , thus • • allowing Wil-Mar Disposal Company to proceed in obtaining needed replacement equipment. I have attached documentation which outlines what equipment will require replacement, a certificate as to the physical condition of the equipment, and the financial details for obtaining replace- ment vehicles. I can not imagine that every city in this state which is addressing this issue is postponing action and awaiting a court decision on the Hudson versus Chula Vista case. Therefore, I recommend to the Council that you authorize staff to proceed with the reviewing of a new fran- chise agreement, which will be returned to Council as soon as possible for your consideration. Its present permit will expire on December 31, 195. . You have indicated that it would be desirable to inform the Council of the circumstances and problems involving this request. You hava advised me that you will outline the operational aspects and factors involved and have requested me to comment upon the validity of a grant as requested without bidding in the light of the present status of the law with respect to the application of anti-trust activities to cities. Discussion- On iscussionOn January 12, 1982, the United States Supreme Court rendered its decision in the case of Community Communications Co. , Inc. v. City of Boulder. The Court held that municipal activity is not exempt from-Federal anti- trust laws. Since that time many municipal activities are suspect as not complying with the laws against anti-trust activities, and, particularly, in not calling for bids for services or materials being acquired by the city. As cases are decided, the scope of the anti-trust application becomes clearer. A recent significant anti-trust case against a California muni- cipality was that of Hudson v. City of Chula Vista. In the Hudson case, the Ninth Circuit of the United States Court of Appeals ruled by a Court panel that refuse services could be provided by partially or wholly exclusive franchise, contract, license, or otherwise, either with or without competitive bidding. r I e • • MEMORANDUM RALPH H. DOWELL, JR. January 16, 1985 Page 2 California cities thought this case provided guide lines for future acquisition of refuse disposal facilities. They were only to be discouraged to learn, however, that the plaintiff in the action filed a petition for a rehearing and suggestion for a hearing en bane with the Ninth Circuit. The filing of the appeal suspended the decision of the Court. Plaintiff's time to appeal to the United States Supreme Court (or petition for certiorari) is extended accordingly.- Therefore, the situation and application of anti-trust to garbage activities are still unclear. We should be cognizant of the fact that litigation on an anti-trust basis will not only impose time and financial burdens on the City and its staff, but it can result in severe civil penalties including: Injunctions; Payment of 3 times the damages actually proved by the plaintiffs; Payment of the plaintiff's attorney's fees; Payment of costs of suit; and, possibly, Punitive damages to individual officers. Violation of anti-trust laws in some circumstances can also be a felony, punishable by up to 3 years in prison and a fine of up to a million dollars. It is obvious that the extension of Wil-Mar's contract denies any one else the opportunity to bid to provide the service during the period of the extension. Clearly this denial is one of the factors at which the anti- trust laws are aimed. In order not to jeopardize the City's interests, and, further, in order to help resolve this situation, I recommend that detailed specifications for the services be prepared and that we call for sealed bids for the specified period commencing Janaury 1, 1986. I am quite aware that this would impact upon our current solid waste collection contractor in his efforts to acquire new equipment. The anti-trust laws, however, are not directed to facilitating the efficiency or methods by which the City conducts its business. It may well be that the Hudson case will be finally decided in time this year to allow planning for renewal of the waste disposal permit and allow Wil-Mar to proceed with its plan of acquiring new equipment without going to bid. Pursuant to the terms and conditions hereinafter set forth the CITY OF ATASCADERO, (hereinafter City) , hereby grants to WIL-MAR DISPOSAL CO. , a California Corporation, (hereinafter Wil-Mar) , a franchise for the collecting and disposal of all garbage, refuse and rubbish accumulated in City, for the period" of ten (10 ) years commencing on the first day of January, 1986. Such collection and disposal shall be in the manner , way and subject to the terms , conditions, provisions, obligations, liabilities and restrictions of this agreement as well as all applicable laws of the State of California and all pertinent present and future ordinances and resolutions of City. Rates for such collection and disposal shall be those rates allowed by the laws and ordinances of City. 2. Wil-Mar hereby promises, agrees and undertakes , during the life of this franchise, to collect and dispose of all garbage, refuse and rubbish in the City, in the ' manner, way and subject to the terms , conditions, provisions , obligations , liabilities and restrictions of, and at the rates allowed by the laws and ordinances of City, and subject to all rights , powers and privileges reserved and _l- reservable to City and its officers as in said laws and ordinances contemplated and provided. 3. Wil-Mar shall not commence residential garbage, refuse or rubbish pick-up service before 6:00 A.M. of any day. 4. Wil-Mar shall participate in official City cleanup efforts and may be required to provide trash bins or trucks at convenient location for public use at no charge to City. This requirement may not be imposed for longer than one (1) week, once during the calendar year. 5 . Wil-Mar shall save and hold harmless the City from any and all claims for damages of any kind or nature whatsoever that may arise out of or in connection with exercise of this franchise for the removal of garbage, refuse or rubbish. Wil-Mar promises and agrees to procure and to keep in force and effect during the life of this franchise, full compensation insurance with an insurance carrier as defined by and in accordance with the provisions of the Labor Code of the State of California. Wil-Mar shall procure, carry and keep in full force and effect throughout the life of this franchise, public liability insurance with a carrier agreeable to the City to the extent of $500 ,000 .00 for the death or injury to one person , and $1 ,000 ,000 .00 for the death or injury to more than one person, and property damage insurance to the extent i -2- of $100 ,000 .00 upon each of the trucks or vehicles usedd by Wil-Mar in carrying out the work called for in this franchise, said insurance to cover both Wil-Mar and City, I with City, its officials and its employees named as additional insureds . Wil-Mar hereby agrees to start the collection and disposal of all garbage, refuse and rubbish under the terms of this franchise on the first day of January, 1986, and having so commenced to collect and dispose of garbage, refuse and rubbish, Wil-Mar undertakes and agrees to continue to collect and dispose of all garbage, refuse and rubbish throughout the term of this franchise without interruption. 7. It is hereby expressly agreed by and between the parties hereto that City shall have, and there is hereby reserved unto City and to the officials of City, all the rights , powers and privileges which it might exercise by law and expressly set out in this franchise in favor of City and its officials ; and the express mention of certain rights, powers and privileges in favor of City, is not intended to and shall not be deemed or construed to exclude any other -3- right, power or privilege in favor of City, which might be expressly reserved herein. 8. Wil-Mar hereby promises and agrees to pay to City for the rights and privileges herein granted to it, five percent (5%) of the gross cash receipts of the garbage, refuse and rubbish collection business conducted by Wil-mar within the City, said amounts to be payable monthly on or before the 15th day of the ensuing month and said payment shall cover the gross cash receipts for the month preceding the payment date. 9. Within Wil-Mar 's accounting records , all items of revenue and expense for operations pertaining to the City franchise service shall be complete and clearly defined. The accounting and statistical records of such revenue and expense items shall be adequately segregated to meet the needs of analysis for rate making. Wil-Mar records shall be available for audit at any time during usual business hours. 10 . Wil-Mar agrees to furnish a cash or surety bond to City in the sum of Twenty-Five Thousand Dollars ($25 ,000 .00 ) conditioned upon the faithful performance of , this franchise and the provisions of the City's Municipal Force. In lieu of the above , City may, at its discretion, accept some other type of financial arrangement guaranteeing City payment in case of nonperformance under the terms of this franchise. -4 11 . Wil-Mar agrees to provide solid waste disposal service to City facilities as well as public trash receptacles in the business district at no charge. This provision shall only apply to reasonable and ordinary solid waste generated on public facilities premises and shall specifically exclude contruction debris . Trash receptacles within the business district shall be serviced once a week. 12. Wil-Mar further agrees to comply with each and all of the terms of the Charter of the City, all ordinances of the City, and all of the laws of the State of California applicable to this franchise, which are hereby made a part hereof. 13 . City does not assume any responsibility for, nor shall it be held liable for damages for the failure on the part of any person, firm or corporation producing garbage, refuse or rubbish within the City to deliver the same to Wil-Mar; provided, however, it is mutually understood and agreed that the City and its officers designated by the Municipal Code to enforce the provisions thereof will at all times during the period of this franchise take all reasonable steps as provided for in said Municipal Code, to enforce each and every one of the provisions contained therein. City further reserves the right to amend the Municipal Code as to regulatory clauses thereof, but not as to the reduction of rates for collection and disposal, nor I in any manner that -5- • will increase the duties to be performed by Wil-Mar without adequate compensation therefore. 14. Wil-Mar shall establish and maintain an office within the City where bills may be paid, services applied for and complaints made, which office shall be equipped with a telephone and shall have a responsible person in charge during usual business hours . A copy of all written complaints and statements of all verbal complaints received by Wil-Mar or its employees shall be maintained by Wil-Mar and open for inspection by the City. Said records shall be maintained for the term of the franchise. Wil-Mar shall at its expense mail annually to each subscriber a statement of rules , container limitations, fees , telephone numbers and other pertinent information. 15 . Wil-Mar shall clearly identify all refuse trucks with the firm name and telephone number . Wil-Mar shall require its crewmen to wear clean uniforms with a conspicuous Wil-Mar insignia. 16 . Wil-Mar shall attach a tag designating a reason for noncollection to any can or container not being collected because of being overweight or for other violation. 17 . Upon the failure or omission of Wil-Mar to keep, fulfill or perform n f � any o the terms , provisions or conditions of this franchise, or of the Municipal Code, and the failure of Wil-Mar to remedy or correct any such failure -6- or omission within twenty ( 20 ) days after notice in writing of such failure or omission, this franchise shall, at the option of City officials by resolution of the City Council, be terminated and ended, and Wil-Mar shall thereafter have no further rights, powers or privileges as granted by said City under or arising through this franchise. 18. Two rear loader garbage trucks will have to be replaced very soon because of the increasing difficulty of keeping them on the road. Age and condition of both trucks make it impossible to be regularly dependent on either vehicle. The two trucks (a 1974 Ford 18 yard and a 1975 Ford 20 yard) will be replaced with a single 1985 Crane Carrier Dempster with a 20 yard box. Both of the retired trucks will be retained as a back-up vehicles. Cost to replace. $131,000 2. One 1978 International 25 yard front loader will have to be re- placed. This vehicle was badly damaged in a recent fire and has been rebuilt. However, on-going maintenance problems indi- cate the continued service of mord than twelve months is very doubtful. We anticipate replacing this vehicle with a 28 yard Crane Carrier Dempster front loader. Cost to replace. $145,000 3. One small 5 yard Pup on a 1969 International chassis is used by the company to service those areas inaccessable to the larger trucks and special situation pick-ups. The present ve- hicle is simply worn out with age .and can no longer be main- tained in an economical manner. We anticipate replacing this vehicle with a 10 yard Waynes body on an International chassis. Cost to replace. $ 45,000 4. Replacement and addition to the inventory of containers is an on going investment by the company to service commercial and multi-residential customers. The computer and printer presently used for billing and collections has been rendered almost useless due to age and limited capacity. We are currently in the process of replacing these two items with a projected total outlay of $ 25,000 Total currently projected capital outlay for equipment to service the Atascadero area would be $373,000 I have enclosed copies of the bids received for the three motor vehicles which make up most of the above amounts. The prices for containers are based upon the most recent purchases and the computer equipment is based upon quotes and projected costs for programing. As with all equipment, it is occassionally possible to buy at sale prices (this has happened very rarely with respect to garbage trucks), or to buy a model with fewer features. I would estimate that the rear loader might be acquired for as little as $90,000 and the front loader might be required for as little as $110,000 under these cir- cumstances. However, it has been my experience that the higher cost of the additionrl features are at least partially offset by more economical operation and higher resale. _ Because of this we have attempted to replace equipment with the best quality which our fin- ances will permit. Obviously, we can simply continue repairing all of the above equip- ment anddeferreplacement to a later date. However, to do so will most certainly lead to a rapidly declining level of the dependability of these items. Because of the extreme cost of these items we have to run the largest route for each vehicle that time will allow and down-time for repairs means extreme problems in scheduling to provide any service at all. Additionally, we must continue to replace older vehicles on an on-going basis because the cost of each is so high that to replace a large number at one- time is impossible. I certify that the condition of the presently owned equipment is as described above, to the best of my knowledge, and that the replacement costs listed are amounts which will reasonably be expected to be incurred. Dowell, Jr.,M[<{ Acting City Manager SUBJECT: DIAL-A-RIDE SERVICE As you may be aware, the Dial-A-Ride system has been subject to criticism due to alleged delays and waits in both telephone call response and subscription (scheduled) pickups. This was an item brought before the Unmet Needs Hearing conducted by the San Luis Obispo Area Coordinating Council on' January_ 10 , 1985. I asked Don Leib, Public Works Superintendent, to investigate the situation and recommend a -remedy. His memorandum is attached. I find that the basic problem is that our ridership has increased about 15-20% over the past year, and delays are not due to a lack of equipment or driver availability, but the number of available hours contained in our existing contract. Therefore, I concur with the recommendation that we increase the existing contract by 5-hours per - week for the remainder of this fiscal year . In addition, I find that the current budget is insufficient to handle the telephone expenses. Therefore, I recommend that we transfer a total of $2,000 of SB-325 monies from Streets Contracts to the Dial-A-Ride contract account. • Mr. Leib also addressed an interest expressed by Councilwoman Mackey regarding Saturday and Sunday service, and has included some figures related to this particular service. I feel we need to evaluate, for the 1985-86 fiscal year ' s budget, the total level of service and related costs that will be required to satisfy the anticipated rider- ship. This level of service must be judged against not only demand but also the amount of SB-325 funds that will be allocated for the next fiscal year. I recommend we do nothing further on weekend services until we can conduct a total service evaluation as part of the next fiscal budget process. RHD:kv Attachments M E M O R A N D U M TO: Ralph Dowell FROM: Don Leib SUBJECT: Dial-A-Ride - Service and Expected Expense DATE: January 22, 1985 The following information is being submitted to help evaluate the Dial A Ride transportation system. The Dial A Ride program has developed from approximately 125 riders daily, composed of approximately 50% Citizenry and 50% Escuela del Rio riders, to the present average ridership of 265 people daily, composed of approximately 40% school age, 25% Escuela del Rio and 25% Citizenry. The 265 people is an average increase of 40 riders per day over the same period 1 year ago, and this figure appears to be steadily increasing. The 1984-85 Dial A Ride budget, which was based on the 225 per day ridership will be over-extended before the -end of this fiscal- year if the current level of service is continued. It is estimated it will take minimally 5 hours more service per week to maintain and/or improve the present level of Service and to correct the situation and complaints of long waits for rides during the peak hours of the day, between 7:30 a.m. and 9:00 a.m. and between 3:00 p.m. and 4:30 p.m. The increase of riders and service hours will directly relate to maintenance and operation costs. It is estimated that the arrival of the one new bus will help to keep the maintenance within budget confines. The phone system, based on current expenditures, will overrun. It is estimated that additional hours of 5 per week for the remainder of the fiscal year will be needed. It is unknown at this time whether these 5 hours per week will be enough for 85-86 fiscal year if growth continues at its present rate. To eliminate current time delays in pick-up and growth it is estimated we will need these additional hours and funds. The present contract allows for 138.5 hours per week. Five additional hours to increase this to 143.5 hours per week would be as follows: 1. 24 weeks X 5 hours per week = 7.455 X 120 894.60 2. Dowell, Jr. , Acting City Manager FROM: Henry Engen, Planning Director AW RE: Proposed Fee Schedule for Building and Construction Permits BACKGROUND: The current fee schedule for activities undertaken under Title 8, Building and Construction Regulations of the City, was adopted on Nov- ember 14, 1983 and is some 13 pages long. Fees contained in the reso- lution are those recommended by the International Conference of Build- ing Officials. Many of the fees are keyed to the value of building as established by the publication Building Standards. Title 8 adopting Building Regulations enables the building official (i.e. planning director) to periodically establish the Building Standards chart as the basis of determining the valuation of projects being processed (see attached memorandum dated September 17, 1984) . ANALYSIS: The attached fee schedule is designed more for simplification than for generating additional revenues. Historically, the fees collected from building and construction permits more than paid for the services pro- vided by the city. Rather, the motivation in offering the attached schedule is to streamline the process which determines the fees nec- essary on a given project. This has been partly done recently in the department by requiring a deposit for permit applications which then permits staff time to determine actual fees which are based on a com- plex analysis of all the features of a given structure (see attached Resolution 40-83 for current fees) . Staff analysis has determined that the fees that are presently being derived may be obtained by using a flat percentage of construction approach to establishment of fees for building, electrical, mechanical plumbing, retaining wall and solar permits, i.e. , valuation of the building project X .012. Consolidation with the same short cut ap- proach is being recommended on grading permits, sign permits, swimming • pools, spas and hot tubs permits. In addition, per hour charges for special inspections are proposed based on actual hourly costs of ex- isting staff. Proposed Fee Schedule for Building/Construction Permits SELF-CERTIFICATION ISSUE: Under Table 5 Miscellaneous Fees, we are providing for the option - at City discretion-to limit the extent of City structural plan check- ing by accepting the design work performed by a licensed professional ("Self-Certification" at a lesser fee) . Use of this approach has been controversial in the inspection profession, but appears worth a trial given the current volume of work and limited City resources. Impor- tantly, acceptance of a self-certified set of plans does not relieve an applicant of full compliance with the adopted codes and correction of errors and omissions may be required during the course of field inspection. Until further notice, starting on September 24 , 1984 , valuation shall be determined from the attached sheet entitled "Building Valuation Data" , which is from the March - April 1984, issue of Building Standards. This supersedes the "Building Permit Fees"Memorandum of December 7, 1983. For structures not covered by the attachment, (i.e. swimming pools, signs, greenhouses,g , g uses, interior alterations, etc. ) the applicant. shall provide an estimated cost for the7 ro 'ect. However, numerous and expensive (department head) recruitments have depleted the account after seven (7) months of the current fiscal f year. Projecting on the experience of those seven months, with an average cost of $654.00 per month, I am requesting $3,500. This figure has been rounded upwards because we have five ongoing recruitments and soon will begin a sixth for Public Works Director.
