Atascadero Tourism Business Improvement District (ATBID) WELCOME TO THE ATBID MEETING The ATBID Advisory Board meets in regular session on the third Tuesday of each month at 2:00 p.m. Board meetings will be held at the Atascadero City Hall, 6500 Palma Avenue, Atascadero. Matters are considered by the Advisory Board in the order of the printed Agenda. Copies of the staff reports or other documentation relating to each item of business referred to on the Agenda are on file in the office of the City Clerk and are available for public inspection during City Hall business hours at the Atascadero City Hall, 6500 Palma Avenue, Atascadero, and on our website, www.atascadero.org. Motion passed 3:0 by a voice vote. B. BUSINESS ITEMS 1. ATBID Operations - Budget Development Action: Board to approve or amend proposed budget. Then to recommend for presentation to City Council. Fiscal Impact: $243,830 Destination Manager Diefenderfer reviewed the ATBID 2015/16 Budgeted P&L Projections and took the Board through each element of the budget. She further mentioned any “reactive advertising” would be for those instances where something comes along that the Board would like to do and cannot pass up that are above and beyond the annual amount of advertising comm itted to Verdin’s annually planned advertising. PUBLIC COMMENT: None MOTION: By Vice Chair Sohi and seconded by Board Member Helbert to approve the proposed budget. Motion passed 3:0 by a voice vote. 2. Marketing Plan Action: Board to approve or amend final marketing plan as prepared by Verdin Marketing. Fiscal Impact: $75,000 Destination Manager Diefenderfer clarified that Verdin is $75,000 Total and the $26,000 under #3 Media Budget is a part of that total. Marketing Consultant Akers further explained that each month she will review the analytics with the Board to make sure the campaign is performing well. Vice Chair Sohi questioned how the Pandora advertising works and Ashlee Akers with Verdin clarified that Pandora works best especially with video and it should be purchased in three month increments for maximum performance. Media Budget Action: Verdin Marketing to provide detailed budget outlining specific outlets and amounts for the utilization of the approved advertising budget. Fiscal Impact: $26,000 Ashlee Akers with Verdin reviewed budget specifics and answered concerns that the media mix can change if the Board is not seeing the results they expect. Motion passed 3:0 by a voice vote. 4. Mid State Fair, Brews & Blues Sponsorship Opportunity Action: Board to discuss then approve or deny sponsorship opportunity. Fiscal Impact: $10,000 Destination Manager Diefenderfer reviewed proposed sponsorship opportunity specifics with the Board. PUBLIC COMMENT: The following citizens spoke during Public Comment: Tom O’Malley and Jessica Sohi . Vice Chairperson Sohi closed the PUBLIC COMMENT period. MOTION: By Vice Chair Sohi and seconded by Board Member Helbert to deny the sponsorship opportunity and direct Jessica Sohi to connect with the Paso Robles Event Center about opportunities for an annual partnership that covers a full annual period prior to the start of 2016. Motion passed 3:0 by a voice vote. 5. Additional Savor Main Event Shuttle Action: Board to consider opportunity to add additional shuttle services from Atascadero hotels during the Savor Main Event Fiscal Impact: TBD Jessica Sohi presented the shuttle pricing for running a continuous loop during the Main Event. It was discussed that timing would allow for three complete loops each day. She noted that these are the same prices as for the Atascadero Wine festival and reviewed the seating capacity in the packet. Ashlee Akers mentioned possible advertising opportunities on the side of the bus. Jessica Sohi to finalize the package with SLO Safe Ride for Sat & Sunday including magnetic signage. MOTION: By Board Member Helbert and seconded by Board Member Alexander to approve spending up to $3,000 for shuttle services from Atascadero hotels during the Savor Main Event Motion passed 3:0 by a voice vote. 6. Marketing Committee Action: Board to appoint members to compile a marketing committee that will meet as needed to provide direction for marketing efforts. Com mittee must include at least one ATBID Board member Fiscal Impact: None Destination Manager Diefenderfer explained that the Marketing Committee can have up to two ATBID Board Members. Ideally the committee would have 5-7 people. in The TBID’s recommendation to appoint Tom O’Malley and Michael Wambolt Board Members is on the City Council’s agenda for June 23, 2015. Vice Chairperson Sohi defined the purpose of a marketing committee is to be a streamlining process with ATBID’s creative, promotional review and review of social media calendar and focus to details. MOTION: By Vice Chairperson Sohi and seconded by Board Member Helbert to form the Marketing Committee and appoint ATBID Board Member Michael Wambolt and Board Member Tom O’Malley as an alternate. Motion passed 3:0 by a voice vote. There was Board consensus to invite Jessica Sohi, Linda Hendy, Stacey Medima and Terrie Banish to be appointed to this committee. Atascadero Zoo – Baby Flamingo Update Deputy City Manager Banish summarized the Special Branding Meeting with Verdin Marketing on June 11th as well as the Highway 41 Corridor Workshop Update and Charles Paddock Zoo baby flamingo. 2. City Clerk Update on Proposed Bylaws – Marcia Torgerson Deputy City Manager/ City Clerk Torgerson gave an update that we will be amending the TBID’s ByLaws Resolution and bringing to the Board at the next ATBID meeting. 3. Annual Report – Final copy utilized in renewal with City Council Destination Manager Diefenderfer explained this will be the structure we will create through this coming year and will be approved once finished. (Exhibit A) 4. Marketing Update – Ashlee Akers a. Verdin Marketing Monthly Report Ashlee Akers with Verdin explained that this will be a placeholder to review the Marketing Monthly Report and we will have a baseline for the las t six months D. BOARD MEMBER COMMENTS: Vice Chair Sohi brought up Billboards. Destination Manager Diefenderfer mentioned swearing in two new Board Members will be added to the agenda for the July 21st ATBID meeting. Brown Act History The Ralph M. Brown Act, often referred to simply as the “Brown Act,” is found in the California Government Code, beginning at Section 54950. The Brown Act was first enacted in the early 1950’s, following a hard-hitting series of newspaper articles revealing widespread abuses involving secret meetings and secret “deals” being made by some local governments. The Brown Act has been amended and strengthened many times since its original enactment, and the process continues. Every year, new bills are proposed to amend the Act with further provisions or clarifications. Purpose And Intent The Brown Act begins with a statement of legislative intent found in Section 54950, which reads as follows: “In enacting this chapter, the Legislature finds and declares that the public commissions, boards and councils and the other public agencies in this State exist to aid in the conduct of the people’s business. It is the intent of the law that their actions be taken openly and that their deliberations be conducted openly. The people of this State do not yield their sovereignty to the agencies which serve them. The people, in delegating authority, do not give their public servants the right to decide what is good for the people to know and what is not good for the people to know. The people insist on remaining informed so that they may retain control over the instruments they have created.” Exceptions to the Open Meeting Rule In addition to requiring that all “meetings” of the legislative body be “open and public,” the Brown Act carves out certain exceptions to this general requirement, allowing legislative bodies to meet in “closed session” for certain purposes. These exceptions include conferring with legal counsel on existing or pending litigation, labor negotiations, real property transactions, personnel matters involving the hiring, firing, disciplining or evaluating employees, and for other specified reasons. However, th ese exceptions are subject to certain conditions regarding the disclosure of the nature of the matters being discussed, the parties involved, and other pertinent information. Agenda and Notice Requirements The Brown Act also requires that an agenda for all “meetings” of the City Council must be prepared to include all matters to be discussed, and this agenda must be published and posted at least 72 hours prior to the meeting. Following publication, additions to the agenda may be made only under certain circumstances. Matters not appearing on the ITEM NUMBER: TBID C-2 DATE: 07/21/15 agenda may not be discussed by the City Council. However, at every regular meeting the public has the right to address the City Council on any matter not appearing on the agenda if it is within the City Council’s jurisdiction. What Are “Meetings”? “Meetings” of the City Council are defined to include “any congregation of a majority of the members of the legislative body at the same time and place to hear, discuss, or deliberate upon any item that is within the subject matter jurisdiction of the legi slative body or the local agency to which it pertains.” Thus, a meeting of the City Council may occur any time or any place where three or more members of the City Council are together and a subject within the City’s jurisdiction is raised. Meetings may also occur as a result of a series of discussions or communications of any sort, including email or telephonic communications, in which three or more members of the City Council eventually become involved, either directly or through a third -party intermediary, on the subject of City business. These are sometimes referred to as serial meetings. Violations and Remedies Failure to comply with the “open meetings” requirements of the Brown Act, including the preparation and publication of an agenda, access of the public, and other requirements, may result in a violation of the Brown Act. Anyone, including the District Attorney, may file an action alleging that a violation of the Brown Act has occurred. Before filing any such action, the party must first give notice to the public agency, and the agency then has thirty (30) days in which to “cure” such violations by rescinding any actions taken during the meeting held in violation of the Brown Act. Upon a finding by the court that an “uncured” violation has occurred, the remedy available to the court is to nullify or void the decisions made. In the event the court finds the violation was “knowing and willful,” and with the intent to deprive the public of its right to know, all those who are found to have had such intent may be subject to misdemeanor criminal penalties. For Additional Advice Any questions or advice concerning requirements of the Brown Act should be referred to the City Attorney. A recent publication entitled “THE PEOPLE’S BUSINESS: A Guide to the California Public Records Act” has been released by the League of California Cities, and is available at www.cacities.org. ITEM NUMBER: TBID C-2 DATE: 07/21/15 Brown Act – Should I Attend? The Brown Act requires that all meetings of the legislative body are open and public and that all persons shall be permitted to attend. The Council and/or Commissions are routinely invited to other meetings besides their own. You must determine whether or not you should attend. If you have any questions about what meeting you may attend, then please check with City Clerk. You may attend the following meetings if all the requirements listed are in effect: 1. Individual Contact a. A conversation between you and another person. b. Caution: May constitute a “serial meeting” 2. Seminar or Conference a. Must be open to the public b. Topics must be limited to issues of general interest to the public or public agencies of the type you represent c. A majority of members cannot discuss among themselves matter of public business other than as part of the scheduled program 3. Community Meetings a. Must be open to the public and publicized b. Topics of local community concern c. A majority of members cannot discuss among themselves matters of public business other than as part of the scheduled program 4. Other Legislative Body Meeting a. Must be open to the public and noticed b. A majority of members cannot discuss among themselves matters of public business other than as part of the scheduled meeting 5. Social or Ceremonial Gatherings a. A majority of members cannot discuss among themselves matters of public business 6. Standing Committee of your Legislative Body a. Must be open to the public and noticed b. Attendees that are not members of the Committee may only attend as “observers” and not speak at the meeting. If you are considering attending a meeting that is not open to the public, or was not advertised as open to the public, you must check in with the City Manager’s office to assure that a majority of the Council/Commission are not attending. ITEM NUMBER: TBID C-2 DATE: 07/21/15 The Political Reform Act Of 1974 History Of The Political Reform Act In June 1974, the voters of the State of California approved a Statewide initiative, Proposition 9, adopting one of the most comprehensive and complex laws affecting conflicts of interest and campaign financing. This law, now known as the Political Reform Act of 1974, or the PRA, remains in effect with few changes since its p assage. The PRA maintains currency through the efforts of the Fair Political Practices Commission (FPPC), an agency created by the PRA and charged with the responsibilities for interpretation of the law, preparation of regulations and guidelines, and enforcement. Summary of Political Reform Act Requirements The PRA, found in the California Government Code beginning at Section 81000, is a complex law, encompassing such issues as campaign finance reform, lobbying, conflicts of interest, voter information on ballot measures, and ethics in government. Not all of the provisions of the PRA apply to local elected or appointed officials. The provisions that are of most concern to local officials include the campaign finance disclosure requirements, the disclosure of financial interests and the disqualification requirements. The following summarizes the obligations of the PRA for local officials. Campaign Finance Disclosure All candidates for election to the City Council are subject to the Campaign Finance reporting requirements found in Chapter 4 of the PRA, beginning at Section 84100 of the Government Code. Candidates running for City Council and members of City Council should be thoroughly familiar with these campaign finance reporting requirements. Conflicts of Interest The provisions of Chapter 7 of the PRA apply both to elected and appointed city officials. As required under Chapter 7, the City of Atascadero has adopted a Conflicts of Interest Code, found in Title 2, Chapter 15 of the Atascadero Municip al Code. This Code is reviewed every two (2) years and updated as necessary. Financial Disclosure Obligation All employees designated as “local officials” under either the PRA or the City’s conflict of Interest Code must file financial disclosure statements once each year, and additionally upon assuming office or leaving office. Disqualification from Participation in Governmental Decisions Section 87100 of the PRA sets forth the general prohibition regarding conflicts of interest, which reads as follows: ITEM NUMBER: TBID C-2 DATE: 07/21/15 “No public official at any level of state or local government shall make, participate in making or in any way attempt to use his (or her) official position to influence a governmental decision in which he (or she) knows or has reason to know he (or she)has a financial interest.” This seemingly simple general rule presents perhaps the most challenging area for local officials who are seeking to comply with the PRA. The FPPC is continually involved with interpreting the law, establishing and revising the regulations and guidelines for compliance, and with enforcement of the law. The regulations and guidelines for compliance are quite complex and difficult to interpret or apply to any set of facts or circumstances. The FPPC aggressively enforces the Conflicts of Interest provisions. State and local officials who are found to have violated these provisions are subject to substantial civil fines for unintended violations. Intentional violators may be subject to criminal prosecutions. All City officials should have at least a general working knowledge or familiarity with the Conflict of Interest provisions. Moreover, because of the complexity and difficulty in interpreting these laws and regulations, and the severity of penalties for violations, whenever a question or concern regarding a possible conflict of interest arises under the PRA, City officials are urged to seek advice from either the FPPC directly or from the City Attorney. ITEM NUMBER: TBID C-2 DATE: 07/21/15 ITEM NUMBER: TBID C-3 DATE: 07/21/15 DRAFT ATBID RESOLUTION A RESOLUTION OF THE ATASCADERO TOURISM BUSINESS IMPROVEMENT DISTRICT ADVISORY BOARD AMENDING THEIR BYLAWS WHEREAS, the Atascadero City Council established the ATBID in April 2013 with the adoption of Ordinance No. 568; and, WHEREAS, the Atascadero Tourism Business Improvement District Advisory Board (ATBID Advisory Board) was established to promote the City as a tourism destination and increase transient stays at lodging businesses with tourism promotions and marketing programs; and, WHEREAS, the ATBID Advisory Board adopted Resolution No. TBID 2013-001, establishing the date, time and location of Advisory Board meetings; and, WHEREAS, the ATBID Advisory Board adopted Resolution No. TBID 2013-002, adopting Bylaws on June 19, 2013; and, WHEREAS, the ATBID Advisory Board desires to amend their Bylaws for the general operation of the ATBID Advisory Board, including but not limited to the designation of officers and conduct of meetings. NOW, THEREFORE, the ATBID Advisory Board does hereby resolve as follows: SECTION 1. The amended Bylaws of the ATBID Advisory Board, a copy of which is attached hereto as Exhibit “A”, are hereby approved. SECTION 2. Resolution No. TBID 2013-001 and Resolution No. TBID 2013-002 are hereby rescinded. SECTION 3. The Chairperson shall certify to the adoption of this Resolution. Name. The official name of the Advisory Board shall be the “Atascadero Tourism Business Improvement District,” hereinafter referred to as the “ATBID Advisory Board.” Marketing activities resulting from the ATBID Advisory Board’s efforts may be represented by a consumer-facing brand fit to achieve the goals of the mission of the ATBID. Section 2. Place of Meeting. The ATBID Board shall hold its meetings at the Atascadero City Hall or such other location as may be designated from time to time by the Chairperson. ARTICLE II – OFFICERS Section 1. Officers. The officers of the Agency shall be a Chairperson and Vice Chairperson. Section 2. Chairperson. The Chairperson shall be elected by the Board Members at the first meeting of each fiscal year. The Chairperson shall preside at all meetings of the ATBID Advisory Board. The Chairperson shall be entitled to vote on all matters coming before the ATBID Advisory Board. Section 3. Vice Chairperson. The Vice Chairperson shall be elected by the Board members at the first meeting of each fiscal year. The Vice Chairperson shall perform the duties of the Chairman in the absence or incapacity of the Chairperson; and in the case of the resignation or death of the Chairperson; the Vice Chairperson shall perform such duties as are imposed on the Chairperson until such time as a new Chairperson is elected or appointed. Section 4. Additional Duties. The officers of the ATBID Advisory Board shall perform such other duties and functions as may from time to time be required by the ATBID, these Bylaws, rules or regulations of the TBID. Section 5. Election The Chairperson and Vice Chairperson shall initially be elected from among the members of the TBID Advisory Board at the Board’s first regular meeting. ITEM NUMBER: TBID C-3 DATE: 07/21/15 Thereafter, tThe Chairperson and Vice Chairperson shall be elected from among the members of the Board annually. The regular term of appointment for both officers shall be one (1) year. Officers of the ATBID Advisory Board shall hold office until their successors are elected and in office. Any such officer shall not be prohibited from succeeding him or herself. Section 6. Removal of Officers. Upon an affirmative vote by a majority of the members of the ATBID Advisory Board present at a regular or special meeting of the ATBID Advisory Board at which a quorum is present, any officer may be removed from office, and a successor elected pursuant to Section 8 of this Article II. Section 7. Resignation. Any ATBID Advisory Board member may resign at any time by giving written notice to the Chairperson, who shall forward such notice to the ATBID Advisory Board. Any such resignation will take effect upon any date specified therein. The acceptance of such resignation shall not be necessary to make it effective. The Advisory Board shall forward the resignation to the City Clerk along with a recommendation from the Board; the City Clerk will forward the resignation and the recommendation from the Board to the City Council who will appoint a new Board Member. Section 8. Vacancies. Should the offices of Chairperson or Vice Chairperson become vacant, the Advisory Board shall select a successor from its membership at the regular meeting, and such election shall be for the period until a new Chairperson and/or Vice Chairperson are selected. In the event of a vacancy on the ATBID Advisory Board, the City Council shall select an individual to fill such vacancy as soon as reasonably practical. ARTICLE III – MEETINGS Section 1. Regular Meetings. Regular meetings shall be held at the Atascadero City Hall unless otherwise specified on a bi-monthly schedule. Additional meetings may be held as deemed necessary for the purpose of transacting the business of the ATBID Advisory Board. A regular meeting of the ATBID Board may be adjourned to a time and place specified in the order of adjournment pursuant to the requirements of Government Code Section 54955. Section 2. Special Meetings. The Chairperson of the ATBID Advisory Board may, when deemed expedient, call a special meeting of the Board for the purpose of transacting any business designated in the call. The call for a special meeting may be delivered to each member of the Board, or may be mailed to the business or home address of each member of the Board, or may be delivered by telephone or email at least one day prior to the date of such special meeting. At such special meeting no business shall be considered other than as designed in the call. Section 3. Meetings to be Open and Public. All meetings of the ATBID Advisory Board shall be open and public to the extent required by law. All persons shall be permitted to attend except as otherwise provided by law. Section 4. Quorum. The powers of the ATBID Advisory Board shall be vested in the members thereof in office from time to time. A majority of current members shall constitute a ITEM NUMBER: TBID C-3 DATE: 07/21/15 quorum for the purpose of conducting business and exercising its powers and for all other purposes. Section 5 . Posting Agendas/Notices. The City Staff member assigned to the ATBID Advisory Board, or his or her authorized representative, shall post an agenda for each regular ATBID Advisory Board meeting or a notice for each special ATBID Advisory Board meeting, containing a brief description of each item of business to be transacted or discussed at the meeting together with the time and location of the meeting. Agendas/Notices shall be posted on the City of Atascadero website at least seventy-two hours in advance of each regular meeting and at least twenty-four hours in advance of each special meeting. Section 6. Right of Public to Appear and Speak. At every regular meeting, members of the public shall have an opportunity to address the ATBID Advisory Board on matters within the ATBID Advisory Board subject matter jurisdiction. Public input and comment on matters on the agenda, as well as public input and comment on matters not otherwise on the agenda, shall be made during the time set aside for public input and comment; provided, however that the ATBID Advisory Board may direct that public input and comment on matters on the agenda be heard whenith the matter regularly comes up on the agenda. The Chairperson may limit the total amount of time allocated for public discussion on particular issues and/or the time allocated for each individual speaker. Section 7. Non-Agenda Items. Matters brought before the ATBID Advisory Board at a regular meeting which were not placed on the agenda of the meeting shall not be acted upon by the ATBID Advisory Board at that meeting unless action on such matters is permissible pursuant to the Ralph M. Brown Act (Gov. code 54950 et seq.). Those non-agenda items brought before the ATBID Advisory Board that the ATBID Advisory Board determines will require ATBID Advisory Board consideration and action and where ATBID Advisory Board action at that meeting is not so authorized shall be placed on the agenda for a future meeting. Section 8. Quorum. The powers of the ATBID Advisory Board shall be vested in the members thereof in office. Three (3) of the five (5) members then in office shall constitute a quorum for the purpose of conducting the ATBID Advisory Board’s business, exercising its powers and for all other purposes, but less than that number may adjourn the meeting until a quorum is obtained. An affirmative vote by a majority of the members of the TBID Advisory Board present at a regular or special meeting of the ATBID Advisory Board at which a quorum is present shall be required for approval of any questions brought before the TBID Advisory Board. Section 9. Unexcused Absences. If a member shall be absent without the consent of the ATBID Advisory Board from three (3) meetings, whether regular or special, within six (6) consecutive calendar months, such absence shall result in the termination of the membership on the Board of the absenting member. A member’s absence shall be excused if, prior to the meeting from which the said member will be absent and the reasons therefore; provided, however, that a member shall be entitled to only two (2) excused absences within twelve (12) consecutive calendar months. At each meeting, after the roll has been called, the Chairperson ITEM NUMBER: TBID C-3 DATE: 07/21/15 shall report to the ATBID Advisory Board the name of any member who has so notified him or her of his or her intent to be absent and the reason for such absence. Section 10. Order of Business. All business and matters before the ATBID Advisory Board shall be transacted in conformance with the City Council’s established practice. Section 11. Minutes (Action). Action minutes of the ATBID Advisory Board shall be prepared in writing by the City staff member assigned to the ATBID Advisory Board. Copies of the action minutes of each ATBID Advisory Board meeting shall be made available to each member of the ATBID Advisory Board. Approved action minutes shall be filed in the official book of minutes of the ATBID Advisory Board and forwarded to the City Council for information. Section 12. Reports to City Council. The ATBID Advisory Board is responsible to prepare an annual work plan and subsequent annual report to City Council. Any additional projects that are not part of the work plan will need to be approved by City Council. Section 13. Committees. In support of specific activities, the need for discussion-based exploration of certain topics or the opportunity to gather feedback from a wider range of tourism stakeholders, regular committee meetings may be established. These committees must have at least one sitting ATBID Advisory Board Member but, in compliance with the Brown Act, will have no more than two ATBID Advisory Board Members present. Committees may also include other community members as approved by the ATBID Advisory Board and all meetings shall be open to the public to attend and to apply for a position on the committee if they involve committee members beyond those on the ATBID Advisory Board. Minutes shall be recordedGeneral record of committee discussion and recommendation shall be taken at every committee meeting and reported back to the ATBID Advisory Board at a subsequent Board meeting. Section 14. Contracted Support Roles. The ADBID Advisory Board may recommend to the City to engage in contracted positions to assist the Advisory Board in their promotional efforts.
